Precigen, Inc. (the “Company”) announced today that it has reached a final settlement with the Securities and Exchange Commission (the “SEC”) regarding a previously disclosed SEC investigation into disclosures made in 2017, when the Company was operating as Intrexon Corporation, regarding the Company’s methane bioconversion platform. Under the terms of the settlement, the Company, without admitting or denying the allegations of the SEC, consented to the entry of an administrative order requiring the Company to (i) cease and desist from committing or causing any violations and any future violations under Section 13(a) of the Securities Exchange Act of 1934, as amended, and Rules 13a-11 and 12b-20 promulgated thereunder and (ii) pay a civil money penalty in the amount of $2.5 million to the SEC.
